Terms of use

Scope

These terms govern your access to and use of sambrix.com (the “site”), operated by Sambrix Enterprise LLC (“Sambrix”, “we”, “us”), a limited liability company registered in Delaware, United States, at 254 Chapman Rd, Ste 208 #23444, Newark, Delaware 19702.

They apply to the site itself — its pages, text, design, code and marks. They do not govern the CueSpace app; see CueSpace below. How we handle information is set out separately in our privacy policy, which forms part of these terms.

Acceptance

By accessing or using the site, you agree to these terms. If you do not agree to them, please do not use the site.

Eligibility

The site is written for a general adult audience. By using it you confirm that you are at least 13 years old and are able to agree to these terms under the law of the place you are using it from. If you are using the site on behalf of an organisation, you confirm you are authorised to accept these terms for it.

Permitted use

You may read, browse, print and share the pages of this site for your own personal or internal business use, and you may quote from it or link to it freely, provided you do not misrepresent what it says or where it came from. No other licence is granted, expressly or by implication.

Prohibited use

You agree not to:

  • copy, republish or redistribute a substantial part of the site as your own work, or use it to build a competing or derivative site;
  • use our name, logo or other marks in a way that suggests an affiliation, sponsorship or endorsement that does not exist;
  • attempt to gain unauthorised access to the site, its server or any connected system, or probe, scan or test the security of any of them;
  • interfere with the site’s operation or availability, including by any automated request that places an unreasonable load on it;
  • scrape or harvest content or contact details from the site for marketing or resale; or
  • use the site for anything unlawful, or in a way that infringes anyone else’s rights.

Intellectual property

The text, design, layout, code, images and marks on this site belong to Sambrix Enterprise LLC or are used with permission, and are protected by copyright, trade mark and other laws. “Sambrix” and “CueSpace” are marks of Sambrix Enterprise LLC. Nothing in these terms transfers ownership of any of it.

If you send us a suggestion about the site or our products, we may use it without restriction and without owing you anything for it. Please do not send us anything you consider confidential or want to be paid for.

Third-party links

The site links to sites we do not operate, including cuespace.app. We are not responsible for their content, their availability or how they handle your information. A link is not an endorsement, and your use of a linked site is governed by that site’s own terms.

CueSpace

CueSpace is our product, and using it is a separate matter from using this site. The app is governed by its own terms of use and its own privacy policy, both published at cuespace.app. Nothing on this site forms part of those terms or varies them, and nothing here is a commitment about what the app does or will do.

Disclaimer

The site is provided “as is” and “as available”, for general information about the company and its product. To the fullest extent permitted by law, we disclaim all warranties, express or implied — including any implied warranty of merchantability, fitness for a particular purpose, title or non-infringement, and any warranty that the site will be uninterrupted, error-free, secure or free of harmful components.

We work to keep the site accurate and available, but we do not warrant that its content is complete or current, and nothing on it is professional advice. Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

Limitation of liability

To the fullest extent permitted by law, Sambrix Enterprise LLC and its members, officers and employees will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to your use of, or inability to use, the site — whether the claim is in contract, tort (including negligence) or otherwise, and even if we had been told such loss was possible.

To the fullest extent permitted by law, our total liability for all claims relating to the site will not exceed one hundred United States dollars (US$100).

Nothing in these terms excludes or limits any liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

Indemnification

You agree to indemnify and hold harmless Sambrix Enterprise LLC and its members, officers and employees against any claim, demand, loss or expense — including reasonable legal fees — arising out of your misuse of the site, your breach of these terms, or your violation of any law or of the rights of a third party.

Changes

We may change the site at any time, including by adding, altering or removing pages, and we are under no obligation to keep any particular page or statement available.

We may also revise these terms. When we do, the date at the top of this page changes with them, and the revised terms apply from the day they are posted. Continuing to use the site after that means you accept them; if you do not, stop using the site.

Governing law

These terms, and any dispute arising out of them or out of your use of the site, are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The state and federal courts sitting in Delaware have exclusive jurisdiction over any such dispute, and you consent to their jurisdiction and venue. If you are a consumer resident elsewhere, nothing here deprives you of the protection of the mandatory laws of the place you live.

If any provision of these terms is held unenforceable, it is severed and the rest stays in force. Our not enforcing a provision is not a waiver of it. Together with the privacy policy, these terms are the entire agreement between you and us about the site, and replace any earlier version.
